These terms of service (“Terms”) govern access to and use of Prospea, operated by Des Clics aux Clients. By using the service, you fully accept these Terms.
1. Purpose
Prospea is an online sales-prospecting tool for business users. It helps identify local businesses, generate personalized proposals, and send email, SMS or call-script sequences from the customer's own sending accounts.
2. Account and sign-up
- Sign-up is reserved for adults acting in a professional capacity.
- You warrant the accuracy of the information provided and agree to keep it up to date.
- You are solely responsible for the confidentiality of your credentials and for actions taken from your account.
3. Subscription and billing
The service is offered on monthly or annual plans. Current pricing is published on the pricing page. Payment is made by credit card through Stripe. The subscription renews automatically at each term unless cancelled from the billing portal. Amounts paid are not refundable pro-rata in case of early cancellation, unless expressly stated otherwise.
4. Acceptable use
It is strictly prohibited to:
- use the service to send unsolicited spam to individuals without a legal basis;
- import contact lists obtained in violation of the GDPR or any equivalent local law;
- circumvent quotas, technical limits or anti-abuse mechanisms;
- use the service for fraudulent, defamatory, hateful or illegal activities;
- scrape Prospea or extract the underlying database.
Any breach may trigger immediate account suspension without notice or refund.
5. Customer responsibility
The customer is solely responsible for the content generated or sent via Prospea. The customer warrants having the rights and legal bases required to contact prospects and process their data. The customer will indemnify Prospea against any third-party claim related to use of the service.
6. Intellectual property
Prospea's source code, trademarks, logos and interfaces remain the exclusive property of Des Clics aux Clients. The customer retains intellectual property over content they create, granting Prospea a license strictly limited to delivering the service.
7. Warranties and limitation of liability
Prospea undertakes to deliver the service with due care, without warranty of uninterrupted availability. Our liability is limited to direct damages and capped at the total amount paid by the customer in the twelve (12) months preceding the triggering event. We disclaim any liability for loss of opportunity, loss of revenue or reputational harm.
8. Termination
The customer may cancel at any time from their billing space. Cancellation takes effect at the end of the current billing period. Prospea may terminate without notice in case of serious breach of these Terms.
9. Confidentiality
The processing of personal data is described in our privacy policy. Customers processing personal data through Prospea benefit from our data processing agreement.
10. Governing law and jurisdiction
These Terms are governed by the law of France. Any dispute will be submitted to the competent courts of France, subject to mandatory consumer-protection rules.
